DFF Courses Terms and Conditions of Booking

Dubai Future Foundation, a government entity established under Dubai Law No. 16 of 2016 and having its principal address at 5th Floor, Emirates Towers, Sheikh Zayed Road, P.O. Box 555509, Dubai, United Arab Emirates (DFF) is the organiser and co-ordinator of DFF Courses (each, a Course).
A description of the one-day or multi-day Course together with the dates on which the Course will take place are available on Dubai Future Foundation’s Course website at https://stage.dffstg.site/dfac-courses (the Website).

1.     Terms of use

(a)    The following terms and conditions, together with any documents expressly incorporated by reference (collectively, the Terms and Conditions), govern your enrolment, access to and attendance of any Course, including any content and services offered relating to the Course through the Website.

(b)    The following Terms and Conditions are entered into between you and DFF. By using the Website to enrol into and participate in the Course, you agree to all of the Terms and Conditions herein. READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ENROLLING INTO AND/OR PARTICIPATING IN THE COURSE. If you do not agree to these Terms and Conditions, you must not use this Website or enrol into the Course.

2.     COURSE BOOKING PROCEDURE

(a)    In order to enrol into the Course, you must register for the Course at https://stage.dffstg.site/dfac-courses

(b)    When you complete the registration to attend the Course via the Website you are:

(i)     representing and warranting that you are the authorised user;

(ii)    agreeing to DFF’s Terms of Use (at https://stage.dffstg.site/terms-of-service) and Privacy Policy (at https://stage.dffstg.site/privacy-policy); and

(iii)   offering to enrol into the Course on these Terms and Conditions. DFF reserves the right to decline or cancel your registration at any time unless it is confirmed in accordance with clause 2(c) below.

(c)    Complete payment of any applicable Fee related to the Course, either via bank transfer or the automated payment gateway link sent to your email address.

(d)    Following receipt by DFF of your registration to enrol into a Course plus proof of payment of the Fee, you will receive an automated email confirming that the registration has been received by DFF.

(e)    A legally binding agreement between DFF and you shall come into existence when DFF has:

(i)   accepted your registration to participate in the Course by sending you an email confirming the purchase of the Course; and

(ii)    received payment of the relevant Fee from you in accordance with clause 4 below.

(f)     The Course is offered and available to participants who are 18 years of age or older. By using the Website to enrol into the Course, you represent and warrant that you are of legal age to form a binding agreement with DFF and accept these Terms and Conditions. If you do not meet all these requirements, you must not enrol into the Course or use this Website.

3.     CANCELLATIONS and Withdrawals

(a)    Where DFF have accepted and confirmed your purchase of the Course and formed a legally finding agreement with you in accordance with clause 2(e) above, you may cancel your purchase of the Course up to 14 days prior to the relevant Course start date by notifying DFF in writing at [email protected] (the DFA Contact Details).

(b)    All cancellations made at least 14 days prior to the Course start date will be subject to an administration fee of 25% of the Fee (as defined under clause 4 plus VAT).

(c)    In instances where you do not attend the Course, or fail to cancel your registration at least 14 days prior to the relevant Course start date, you will be charged in full and you will not be entitled to a refund.  

(d)    If you are unable to attend your scheduled Course and would like to reschedule, you may request to transfer the booking to another Course date by notifying DFF in writing via DFA Contact Details no less than 7 days prior to your registered Course start date. DFF reserves the right to transfer in its sole discretion and subject to availability.

(e)    You may not transfer your Course booking more than once. If you cancel any rebooked Course, or fail to attend, you will be charged in full and no refund will be offered.

(f)     DFF also reserves the right to reject your registration to the Course for any reason, including if a Course is already at full capacity. If DFF rejects your application, DFF will endeavour to notify you of that rejection. If DFF has already received your payment of Fees under clause 4, it will refund you in full promptly after the rejection.

(g)    DFF reserves the right to re-schedule, postpone, cancel or amend a Course where it becomes necessary to do so. In the event of the re-scheduling or postponement of a Course, DFF shall notify you of the new Course date.

4.     Fees

(a)    The fee for the Course shall be as set out on the Website (Fee).

(b)    The Fee for the Course selected by you via the Website shall be debited from your debit/credit card at the time of the purchase of the Course. Fees must be paid in full prior to you attending the Course.

(c)    Any fees charged by your debit or credit card provider in connection with your purchase of the Course are for your own account and DFF shall not be responsible for these.

(d)    DFF also reserves the right to change the Fee from time to time and will communicate any price changes to you in advance.

5.     Changes to COURSE

(a)    DFF shall provide such speakers to present the Course as it, in its sole discretion, deems fit and DFF shall be entitled at any time to substitute any speaker with any other person who, in DFF’s sole discretion, it deems suitably qualified to present the Course.

(b)    DFF reserves the right to make changes to the Course at any time and for any reason, including to the date(s) or location(s) of the Course. DFF will notify you of such changes as soon as reasonably practicable.

(c)    You may not transfer your rights to attend the Course and access materials from the Course or provide such Course materials to any other person.

6.     Participation and Conduct

(a)    You represent and warrant that all information provided by you to DFF when registering for the Course is true, accurate and complete.

(b)    You undertake to:

(i)     comply with all relevant legislation and applicable codes of practice or recommendations or any instructions issued by DFF from time to time;

(ii)    behave in a professional and respectful manner towards DFF, all employees and personnel of DFF and the Government of Dubai, and all other participants of the Course and shall comply with the laws, culture and ethics of the United Arab Emirates;

(iii)   not knowingly or negligently take or do any action or permit any omission that would be detrimental to the reputation or goodwill associated with DFF or the Government of Dubai; and

(iv)   conduct yourself in an open and collaborative manner consistent with the aims of the Course and share information, ideas and learnings with DFF in an open, public and transparent manner.

(c)    You must:

(i)    comply with all health and safety rules and regulations and any other reasonable security requirements that apply at the premises at which the Course is provided; and

(ii)  not misuse, abuse or otherwise do any unauthorised act with respect to any materials, furnishings, equipment or hardware of DFF or at the premises at which the Course is provided.

(d)    Your personal possessions are your sole responsibility and DFF accepts no responsibility and/or liability for anything that is lost or stolen from the premises in which the Course is provided.

(e)    Any violation or non-compliance with any of the representation, warranties and undertakings set out in this clause 6 shall constitute a material breach of these Terms and Conditions. DFF may at its sole discretion and without liability, refuse to admit you to, and may remove you from the Course and/or any of DFF’s premises if, in DFF’s reasonable opinion, your behaviour is considered to be in breach of these Terms and Conditions.

(f)     You shall be liable without limitation to DFF for any loss, damages or costs including any damage to DFF’s facilities, furnishings, premises and equipment, caused by any breach by you of these Terms and Conditions, or any acts or omissions in negligence or wilful misconduct by you. If any such violation or non-compliance is a violation of criminal and civil laws, DFF reserves the right to take proper legal action against you.

7.     Confidential Information

(a)    You shall keep all information and materials relating to the Course and DFF, including all information and materials provided at the Course (Confidential Information) strictly confidential and shall:

(i)   not use the Confidential Information for any purpose other than for the purposes of the Course and these Terms and Conditions;

(ii)  not disclose the Confidential Information to any third party or otherwise publish or make available to the public (including on social media platforms, blogs, vlogs and other means of self-publication) without the prior written consent of DFF; and

(iii) protect and treat all Confidential Information with the same degree of care as it uses to protect its own confidential information and not less than reasonable care.

(b)    All materials and information (in whatever form) provided by DFF to you in connection with the Course are the sole property of DFF and may not be copied, modified, assigned, distributed, shared or made available to any third parties.

(c)    Notwithstanding clause 7(a)(ii), you are entitled to refer to the Course via your personal social media account provided always that such reference shall in no way be disparaging or reduce or diminish the reputation, image and prestige of the Course, DFF or the Government of Dubai. 

(d)    You agree to participate in and co-operate with promotional activities relating to the Course that may be initiated and/or organised by DFF.

(e)    DFF may acknowledge your involvement in the Course as appropriate without prior notice. The enrolment and/or participation by you in a Course shall constitute as your deemed consent and acceptance to DFF or its appointed representatives publishing details of the Course and photographs and video footage of you and making further press or other public announcements, or release in any form any marketing or other publicity or releases, whether in written or oral form, relating to the Course, DFF, you, results or data. 

(f)     This clause shall continue notwithstanding the end of the Course.

8.     Intellectual property

(a)    All intellectual property rights (including copyright and authors rights, database rights and rights in patents, designs, images, inventions, utility models, trade names, trademarks, service marks, trade dress or get-up, goodwill, domain names, know-how, trade secrets and all other intellectual property rights, registered or unregistered, anywhere in the world) (Intellectual Property Rights) in the material provided in the Course, the Website or speeches made by speakers at the Course remain the intellectual property of DFF or its licensors and shall be used strictly in accordance with DFF’s instructions.

(b)    If any Intellectual Property Rights are:

(i)   generated by you as a result or direct consequence of the Course; or

(ii)  developed by you through any learning materials, related processes or general innovation methods or techniques by means the Course, then you shall enter into a separate agreement with DFF and take all steps and sign all deeds and documents necessary to assign such Intellectual Property Rights to DFF or the Government of Dubai, or otherwise register such Intellectual Property Rights in the name of DFF or the Government of Dubai.

(c)    Any materials provided to you by DFF for use in connection with the Course shall be for your individual personal use only.

(d)    You shall not:

(i)   use, copy, modify, reproduce, redistribute, transmit, assign, sell, edit or otherwise transfer any Intellectual Property Rights of the Government of Dubai (including but not limited to the Intellectual Property Rights of DFF in the content provided as part of the Course or the Website) without the prior written consent of DFF (including, but not limited to, posting excerpts of the Course material on social media or blogging about the material);

(ii)  record on video or audiotape, relay by video calls, or take photos of materials in the Course, or record by any other means the Course material provided;

(iii) use the Course materials in the provision of any other training given by you or any third party; or

(iv) do or permit anything which may adversely affect the Intellectual Property Rights of DFF or assist or allow others to do so.

(e)    You may not to use any Intellectual Property Rights of the Government of Dubai (including but not limited to the Intellectual Property Rights of DFF) without DFF’s prior written consent.

(f)     Breach by you of this clause 8 shall allow us to immediately terminate these Terms and Conditions with you and immediately restrict you from attending the Course. 

9.     TERMINATION

(a)    DFF may terminate these Terms and Conditions and exclude you from attending the Course or any other course organised by DFF and/or the Government of Dubai with immediate effect if you:

(i)   breach of these Terms and Conditions;

(ii)  you are involved in any situation or activity which could expose the Course, DFF or the Government of Dubai to disrepute or reflects unfavourably on the Course, DFF or the Government of Dubai’s reputation; or

(iii)you do not behave in a respectful and professional manner towards DFF, the Government of Dubai, any employees or personnel of DFF or the Government of Dubai, or any of the other Course speakers or participants.  

(b)    DFF shall not be liable for any direct or indirect losses, damages or costs you incur arising out of any such exclusion.

10.   Liability

(a)     While DFF aims to provide the Course to the highest standards of the industry, neither it, nor its speakers accept any liability for:

(i)   any inaccuracy or misleading information provided in the Course and any reliance by you on any such information from the Course or the Website; and

(ii)  any indirect, special or consequential loss arising the use of information provided in the Course or the Website, or attendance at the Course.

(b)     If you are dissatisfied with any portion of the Course or the Website or with any of these Terms and Conditions, your sole and exclusive remedy is to discontinue using the Website.

11.   No warranties

(a)     The information and materials provided at the Course are for educational purposes only.

(b)     To the fullest extent permissible under the law, DFF disclaims all warranties, express or limited, including implied warranties of the fitness of the information provided to any particular purpose.

12.   Privacy and Terms of Use

(a)    Your use of this Website is subject to DFF’s Terms of Use (at https://stage.dffstg.site/terms-of-service) and Privacy Policy (at https://stage.dffstg.site/privacy-policy).

(b)   Please review the Privacy Policy as it informs you of our data collection practices. By using this Website and attending the Course, you consent to our collection and processing of your personal data as outlined in the Privacy Policy.

13.   General

(a)    Nothing in these Terms and Conditions shall constitute or be deemed to constitute a relationship of an agency, partnership or joint venture between you and DFF.

(b)    If any term of these Terms and Conditions is or becomes illegal, invalid or unenforceable, that shall not affect the legality, validity or enforceability of any other term of these Terms and Conditions.

(c)    Any termination of your participation in and/or any cancellation of any Course shall not affect any accrued rights or liabilities of DFF. Clauses 6, 7, 8, 9 and 13 shall remain in full force and effect notwithstanding any termination or expiry of these Terms and Conditions.

(d)    These Terms and Conditions and the relationship between DFF and you shall be governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates. Any dispute shall be referred to and finally resolved by the Dubai Courts (as established by Law No. (3) of 1992 and Law No. 13 of 2016) who shall have exclusive jurisdiction to settle the dispute. You hereby unconditionally and irrevocably renounces any right it may have to challenge in any other jurisdiction or arbitral system the decision of the Dubai Courts.
